Terms of Use
BY ACCEPTING DELIVERY OF THE SOFTWARE AND/OR SERVICES, YOU (HEREINAFTER “User”) ARE EXPRESSLY AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT TO THE EXCLUSION OF ALL OTHER TERMS. IF THESE TERMS ARE CONSIDERED AN OFFER BY UCWeb Inc. (“UC”), ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS. UC IS WILLING TO MAKE THE SOFTWARE AVAILABLE TO USER ONLY UPON THE CONDITION THAT USER ACCEPTS THE TERMS OF THIS AGREEMENT. WRITTEN APPROVAL IS NOT A PREREQUISITE TO THE VALIDITY OR ENFORCEABILITY OF THIS AGREEMENT.
TERMS AND CONDITIONS. This End-User License Agreement (the “Agreement”) is between User and UC. This Agreement governs User’s use of the Software provided to User by UC, including any releases of or to the Software that User may receive from UC, together with the documentation included therewith.
1. DEFINITIONS. For purposes of this Agreement, the following terms will have the following meanings:
1.1 "User" means the legal entity or person who orders or downloads the Software and/or activates the Services.
1.2 "Documentation" means the standard end-user technical documentation, specifications, materials and other information UC supplies with the Software and/or Services.
1.3 "Services" means the various services to which UC provides users with access, including without limitation, UC Cloud Service, UC Reader, search services, personalized content and branded offering through its network of services that may be accessed through any various medium or device now known or hereafter developed.
1.4 "Software" means the proprietary UC software products (in object code format only) delivered to User hereunder (including but not limited to the Browser), together with any update or upgrade thereto, when and if made available to you by UC. Software does not include Third-Party Software.
1.5 "Third-Party Software" means the software of certain third parties that UC may deliver with the Software, including but not limited to widgets of certain third parties and independent developers.
1.6 "Use" means to cause a computer system to execute any machine-executable portion of the Software in accordance with the Documentation or to make use of any Documentation or related materials in connection with the execution of any machine-executable portion of the Software.
2. LICENSE. Subject to the terms and conditions of this Agreement, UC hereby grants User a limited, non-exclusive, non-transferable, non-sublicensable license to use the Services and to install and Use the Software supplied to User hereunder, as installed on User’s personal handheld device, or on handheld devices within User’s organization.
3. LICENSE RESTRICTIONS AND THIRD-PARTY SOFTWARE.
3.1 User shall not and shall not allow any third party to: (a) use the Software or Services except as expressly permitted under Section 2; (b) separate the component programs of the Software for use on different computers; (c) adapt, alter, publicly display, publicly perform, translate, embed into any other product, or otherwise create derivative works of, or otherwise modify the Software or Services; (d) sublicense, lease, rent, loan, or distribute the Software or Services to any third party; (e) transfer the Software or Services to any third party; (f) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software, except as permitted by applicable law (g) remove, alter or obscure any proprietary notices on the Software or Services, or the applicable documentation therefore; or (h) allow third parties to access or use the Software or Services, including without limitation any use in any application service provider environment, service bureau, or time-sharing arrangements.
3.2 Third-Party Software is subject to separate terms and conditions included with, or contained in the setup installation segments of such Third-Party Software. The license restrictions contained in this Agreement do not apply to Third-Party Software to the extent they are inconsistent with such Third-Party Software terms. UC shall not be responsible for any Third Party Software.
4. USE OF SERVICES
4.1 UC provides users with access to a rich collection of resources and Services, including without limitation various communications tools, and personalized content through its network of services, which may be accessed through any various medium or device now known or hereafter, developed. The use of several of the Services, including UC Cloud Acceleration and UC Reader.
4.2 UC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. User agrees that UC shall not be liable to User or to any third-party for any modification, suspension or discontinuance of the Services.
4.3 Without limiting the applicability of the foregoing general terms, the following terms and conditions apply for the specific services discussed below.
4.3.1 UC Cloud Acceleration: When UC Cloud Acceleration is enabled, it will request normal web content through an UC Software proxy server. UC Cloud Acceleration will exclude webpages located on an intranet or using secure connections . The browsing experience may change due to increased webpage loading speeds when using UC Cloud Acceleration. UC reserves the right to change, limit usage of, charge for continued usage of (of course require User to opt in before incurring any charges), and/or discontinue the UC Cloud Acceleration service at any point in time. Furthermore, UC reserves the right to revise the terms of the Cloud Acceleration service, which may include making the Cloud Acceleration service subject to a separate agreement.
5. PROPRIETARY RIGHTS. User acknowledges and agrees that the Services and the Software, including without limitation the Software’s sequence, structure, organization, source code and applicable documentation contains valuable trade secrets and other intellectual property of UC and its suppliers and is considered UC’s confidential information. The Software and Services are licensed and not sold to User, and no title or ownership to such Software or Services or the intellectual property rights embodied therein passes as a result of this Agreement or any act pursuant to this Agreement. The Software and Services and all intellectual property rights therein are the exclusive property of UC and its suppliers, and all rights in and to the Software and Services not expressly granted to User in this Agreement are reserved. UC owns all copies of the Software, however made. Nothing in this Agreement will be deemed to grant, by implication, estoppel or otherwise, a license under any existing or future patents of UC, except to the extent necessary for User to use the Software or Services as expressly permitted under this Agreement.
6. PRIVACY. UC takes the matters of protection and security of its users information very seriously and will treat any and all such information in accordance with the UC Privacy Statement, which is located at http://www.ucweb.com/English/UCMobileCompany/privacy.html and incorporated into this Agreement by this reference.
7. TERM AND TERMINATION. The term of this Agreement will commence upon User’s download of the Software and/or User’s commencement of the Services and, unless earlier terminated as provided in this Section 7, will continue in perpetuity. This Agreement will immediately terminate upon User’s breach of this Agreement, unless such breach is curable and is actually and immediately cured by User after UC provides notice of breach to User. Upon the termination of this Agreement, User will discontinue all use of the Software and/or Services, promptly destroy or have destroyed the Software and any copies thereof, and, upon request by UC, certify in writing to UC that such destruction has taken place. These remedies are cumulative and in addition to any other remedies available to UC. Sections 1, 3, 5, 6, 7, 8, 9, 10, 11, and 12, shall survive such termination.
8. DISCLAIMER OF WARRANTIES. THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS,” AND ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, ACCURACY OR COMPLETENESS, SATISFACTORY QUALITY, AND QUIET ENJOYMENT, OR OTHER WARRANTIES OR CONDITIONS ARISING BY STATUTE, OPERATION OR LAW, COURSE OF DEALING, USAGE OF TRADE OR OTHERWISE ARE HEREBY DISCLAIMED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO USER. UC DOES NOT WARRANT THAT THE USE OF THE SOFTWARE OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE OR THAT THE SOFTWARE OR SERVICES DO NOT CONTAIN ANY VIRUSES. THIS WARRANTY DISCLAIMER IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN USER AND UC. UC WOULD NOT PROVIDE THE SOFTWARE OR SERVICES ABSENT SUCH DISCLAIMER. NO REPRESENTATIONS OR WARRANTIES ARE MADE BY ANY SUPPLIERS TO UC UNDER OR BY VIRTUE OF THIS AGREEMENT.
9. LIMITATION OF LIABILITY. IN NO EVENT SHALL UC BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR INDIRECT DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION DAMAGES FOR INTERRUPTION OF BUSINESS, LOST DATA, LOST PROFITS, OR THE LIKE) REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), STRICT PRODUCT LIABILITY, OR OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THE CUMULATIVE LIABILITY OF UC ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT PAID TO UC IN RESPECT OF THE SOFTWARE GIVING RISE TO THE CLAIM OR IF NO FEES WERE PAID THEN FIVE HUNDRED EUROS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE FOREGOING EXCLUSION AND LIMITATION MAY NOT APPLY TO USER. THIS LIMITATION OF LIABILITY WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY SET FORTH HEREIN. IN NO EVENT WILL ANY SUPPLIER TO UC HAVE ANY LIABILITY TO USER UNDER THIS AGREEMENT. THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN USER AND UC. UC WOULD NOT PROVIDE THE SOFTWARE TO USER ABSENT SUCH LIMITATION.
10. NOTICES. All notices required under this Agreement will be given as follows: (a) in the case of notices to UC, by certified mail, return receipt requested, to the following address: Chief Operating Officer, UCWeb Inc., F/4,Building B,Guangzhou Xinxigang,No.16 Keyun Rd,Guangzhou,China, such notice to be deemed effective upon receipt by UC; and (b) in the case of notices to User, by email to the email address that User provided to UC prior to initiating the download of the Software or start of the Services, such notice to be deemed effective upon the earlier of (i) twenty-four (24) hours after sending, or (ii) User’s actual receipt of any such e-mail.
11. INJUNCTIVE RELIEF. User acknowledges and agrees that the Software and Services contain valuable trade secrets, confidential information and proprietary information of UC. User further acknowledge that any actual or threatened breach or violation of Section 2 or Section 3 of this Agreement will constitute immediate, irreparable harm to UC for which monetary damages would be an inadequate remedy, and that injunctive relief is an appropriate remedy for any such breach or violation.
12. GENERAL. User acknowledges and agrees that the Software may contain cryptographic functionality the export of which is restricted under applicable export control law. User will comply with all applicable laws and regulations in User’s activities under this Agreement. User will not export or re-export the Software in violation of such laws or regulations or without all required licenses and authorizations. This Agreement will be governed by the laws of China without giving effect to any conflicts of law principles that may require the application of the laws of a different country. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. All actions or proceedings arising under or related to this Agreement must be brought in Guangzhou Arbitration Commission, and each party hereby agrees to irrevocably submit to the jurisdiction and venue of any such court in all such actions or proceedings. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall not be affected or impaired thereby. User may not assign or transfer this Agreement without obtaining UC’s prior written consent, and any purported assignment or transfer in violation of this Section 12 will be null and void. UC may update the terms of this Agreement if and when User install and update or upgrade to the Software and/or Services. User will be responsible for all of User’s access and data charges from User’s Internet service provider or mobile operator. Applications User downloads or that are made available to User may automatically connect to the Internet to update information or provide a service to User.
BackPrivacy Policy
UCWeb Inc.(hereinafter referred to as UCWeb) follows this privacy policy and all the related laws and regulations. We offer strict protection of your personal information we collect from UC Browser. We strongly recommend you to read this statement carefully and review it periodically.
In order to improve user experience and provide better service to our users, we will gather some information about the device you are using under the premise of appropriate protection of your privacy. This statement explains how this information will be collected and what do we use it for.
1. Information we collect
We collect this information to help us provide better service to our users, it may include some basic information (such as phone model) and some complex information (such as what advertisement do you think is most helpful).
We have two methods to collect:
The information you provide to us. Many services we provide require you to register a UC account. When you are signing up for the account, some personal information is needed, like names, phone numbers and photos.
We acquire some information when you use our service. We will gather some information of the services you use and the way you use them, for example, the time you visit our advertisement. This information includes:
1.1 Device Information
We will collect some information related to your device, such as the hardware information, version of operating system, language settings, IMEI, MAC address, IMSI and phone number obtained from your operator.
1.2 Logs
When you are using our services, we may collect some data and store it into server logs. It includes:
1) Your use of our service, such as the contents you search.
2) Your network requests, Internet protocol address, types of your browsers, language settings of your browser, the date and URL of your requests.
3) IP address
4) One or more cookies used to identify your browser uniquely.
5) We may collect some data of the browser crashes and use it for analysis and debugging.
1.3 Location Information
When you visit some websites that have positioning functions, we may collect and process the information about your actual location. We may use some positioning techniques to help you get your location, for example, we access to your GPS or sensors on your device so that we can provide you the information of Wi-Fi hotspots nearby.
2. Purposes
2.1 Processing of personal data shall be done for purposes of running, debugging, maintenance, and/or optimization of the service and/or to maintain customer relationships, such as providing more relative search results and advertisements to you.
2.2 For all the services we provide that require a UC account, we may use the names you provide in your profiles. If other users know about your email address or other information that can identify you, we may show them your public information of your profile, like your names and photos.
2.3 When you contact with UCWeb, we will save your communication records, it may help you solve any problems you may have. We may send you some emails about our services. For example, to inform you a new update is available.
2.4 We will use relevant information in accordance with this privacy policy.
2.5 Servers used to process personal information are deployed all over the world. Therefore, the servers we use to deal with your personal information might not be in your country or region.
3. Occasions
We may gather information on these occasions (including but not limited to). Unless there is other provision,all the new functions are restrained to this statement.
3.1 Auto-fill
When you input some keywords in the search bar, UC Browser will upload the keywords to the servers of UCWeb. In this way, "Recommend" function is able to recommend some words you may want to search.
3.2 Booster Mode
You can choose to use the Booster Mode of UC Browser. In this mode, the pages you visit will be handled by the servers of UCWeb. We will rearrange the layouts of the pages and compress the pages to fit your screen, moreover save your traffic.
3.3 Icons of My Navigation
If you visit a new website and this website is in My Navigation, UC Browser will upload the URL of this site to our servers, download and display the corresponding icon, makes it more convenient to visit this site.
3.4 Security Service
The security service (including scanning of websites and downloads) provided by UC Browser UC, it may upload some information and data (like URLs of the site you visit or download link) to UC Cloud Security Data Center, they will be used to remind you when you visit a malicious site or when download a malware.
3.5 App Update Notifier
You can choose to use App Update Notifier in UC Browser to help you check, download, search, share latest and secure apps and games. UC Browser will collect the names and build number of installation packages on your phone as well as your IMEI, compare them with the data on our servers. If new versions of these apps are found, we will remind you to update. We will never save these data or match them with any personal information.
3.6 Bookmark Sync
You can save your backup of your bookmarks in the servers of UCWeb. Once you use this function, UCWeb will provide this service to you. In order to ensure the security of your data, UCWeb takes strict security measures to protect your data.
3.7 User Experience Improvement Program
After you install UC Browser on your device, we will ask you to join our User Experience Improvement Program, you can refuse to join the program by modifying settings. If you choose to accept, the browser will upload some data of your use to our servers (such as button clicks, preferences, IMEI, MAC address, crash logs), but none of them involves your browsing history, cookies and personal data. We will analyze the data and use it to improve our product.
3.8 Feedback
When you are using UC Browser, you can give us some feedback. When you commit your feedback, we will collect your phone model, build number of the browser and version of your operating system and use them for figuring out some solutions. The contact you leave in your feedback will only be used for our customer service, we will never share your contact with any other third party.
3.9 Navigation
To provide better navigation to our users, UC Browser will read navigation data from UC servers timely and may get your location information at the same time.
3.10 Wallpaper push
UC Browser will download recommended wallpaper for you to customize your browser.
3.11 Check for updates
UC Browser will occasionally communicate with the servers of UCWeb, check for available updates. The browser will ask you to download the update if a new one is found. You can refuse to download the update. If you choose to update the browser, you can enjoy the latest and most stable version of UC Browser in the first place.
4. We may share users' personal information under some circumstances.
We will never share your personal information with any other company, organization or individual, expect for the situations below:
4.1 With your agreement. We will only share sensitive information which you allow us to.
4.2 For external processing. We may provide users' personal information to reliable merchants or organizations related to UCWeb, we will require them to follow our instructions and obey to our privacy policies so that they can deal with the information.
We may share non-personal identification information with the public and our partners (publishers, advertisement clients or related websites). For instance, we may share some information with the public to show the use of our services.
If UCWeb involves in any merge, acquisition or asset sales, we will keep the information confidential and inform affected users before we transfer any personal information.
5. Exemption Clauses
The above personal information shall not be publicized, edited or disclosed without lawful authorization by the user unless the publication, the editing or the disclosure is done –
(1) In accordance with national laws, regulations or rules; or
(2) By enforcement of applicable terms of use (including the investigation of possible breaches of terms); or
(3) By detection, prevention or processing fraudulence, safety or technical problems.
The protection of your rights shall be extended to the extent failure to protect is the result of any following Force Majeure events, and you will be timely informed of –
(1) Hacking attacks;
(2) Significant impacts caused by telecom operators;
(3) Network or website closure caused by governmental regulations;
(4) Virus attacks;
(5) Events (for example, natural disasters, acts of war or terrorism) those are unforeseen or irresistible beyond reasonable control.
6. Revision of privacy policies
With the development of the browser, if there are material changes to this statement or in how we will use your personal information, we will notify you either by prominently posting a notice of such changes prior to implementing the change or by directly sending you a notification. By continuing to use this service, you accept to the new revision.

UX Improvement Program
Welcome to join our User Experience Improvement Program (UX Improvement Program), in order to improve user experience of UC Browser, we will collect some data from the browser.The data is only used for product opimization,none of the it involves your private data. By analysing the data, we are able to improve the performance of our browser and make our browser more secure.
1. Statistics of use of functions
If you participate in this program, we will send some data about your use of functions(button clicks, settings, IMEI and MAC address of your device) to the servers of UCWeb Inc.(hereinafter referred to as UCWeb), but we will never collect your browsing history, cookies or private files.
The data will collect will be used for the improvement of our product. We want to know how many users are using each specific function, so that we are able to make better decision about how to set priority of our development. During this process, we will just collect data of times you use the function, it will not involve your privacy.
For instance,if Function A is much more popular than Function B, we will be more likely to put more efforts in developing Function A to make it even better.
2. Statistics of updates
To update UC Browser, you need to connect to our server to check update information. New updates will fix some bugs existed in the previous version to enhance robustness, and eventually improve user experience.
The system has to check the build number of your browser, IMEI, model info and system version to judge if there is suitable update for your device.
UC Browser will communicate with the servers of UCWeb on a regular basis after your device is connected to the Internet. It will check for update and if there is a new update available, it will remind you to download the latest update.
3. User Experience Improvement Program
We hope to improve usability, stability, practicality by analyzing this information. They include:
1) Update to the latest version, fix bugs more efficiently.
2) Block various types of malicious websites from you more accurately.
3) Allow you to use bookmark sync function and other functions which need to be updated on the cloud.
4) You will be able to turn on/off toggles on your phone, change settings more conveniently.
5) To make user experience better on UC Browser.
6) To make UC Browser more stable and compatible.
4. We respect and protect your privacy
UCWeb complies with all the national laws and regulations strictly, the program is totally anonymous. We will never store the collected data matched with personal information. The only purpose of this program is to get the feedback from users and use the information to improve the quality of both the product and our service. We will never send you any message irrelevant to the software and service. We will strictly keep this information confidential and will never expose it to any other third party.

6. Quit
According to your willings, you are always free to choose whether to join our User Experience Improvement Program, you can modify the settings in menu-settings- User Experience Improvement Program to quit the program.
With the development of the browser, if there are material changes to this statement or in how we will use your personal information, we will notify you either by prominently posting a notice of such changes prior to implementing the change or by directly sending you a notification.
